Terms & Conditions
I'm Rao Muhammad Ali, and these Terms & Conditions explain — in plain language — what you can expect when you use this website or work with me on a Shopify, WooCommerce, SEO, CRO, or Meta Ads project. No dense legal jargon for the sake of it. Just a clear agreement both of us can actually understand.
Agreement to These Terms
These Terms & Conditions ("Terms") govern your use of raomuhammadali.com (the "Site") and any services provided by me, Rao Muhammad Ali, an independent E-Commerce Growth Strategist working with Shopify and WooCommerce brands in the USA, UK, UAE, Canada, and Australia.
By visiting this Site, submitting a form, booking a free strategy call, or engaging me for paid services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Site or engage my services.
Throughout this document, "I," "me," and "my" refer to Rao Muhammad Ali, and "you," "client," or "your" refers to anyone visiting the Site or engaging my services.
Who I Am & Who This Applies To
I operate as an independent freelance consultant — not a registered agency with multiple staff handling your account. Every project listed on this Site, including Shopify development, WooCommerce development, e-commerce SEO, conversion rate optimization (CRO), Meta Ads management, and e-commerce growth strategy, is led personally by me.
These Terms apply to:
- Casual visitors browsing the Site, blog, or portfolio
- Anyone submitting the contact form or booking a free strategy call
- Clients who engage me for a paid project or ongoing growth management retainer
Use of This Website
You're welcome to browse this Site, read the blog, and review the portfolio freely. By using the Site, you agree that you will not:
- Use the Site for any unlawful purpose or in violation of any applicable local, national, or international law
- Attempt to gain unauthorized access to any part of the Site, server, or connected database
- Submit false, misleading, or spam information through any form on the Site
- Scrape, copy, or republish the content, case studies, or design of this Site without permission
- Use any automated system (bots, scrapers) to access the Site in a way that sends more requests than a human could reasonably produce
All content on this Site — including text, graphics, case study write-ups, the visual design, and brand assets — is owned by me unless otherwise stated, and is protected by copyright. You may share links to this Site freely, but may not reproduce substantial portions of it without written permission.
Services I Offer
The services described on this Site currently include:
- Shopify Store Design & Development — new builds and redesigns of existing stores
- WooCommerce Development — custom WordPress-based store builds and optimization
- E-Commerce SEO — technical SEO, on-page optimization, content, and link building
- Conversion Rate Optimization (CRO) — checkout, product page, and funnel improvements
- Meta Ads Management — campaign strategy, setup, and ongoing optimization
- E-Commerce Growth Strategy — audits, roadmaps, and channel prioritization
Specific deliverables, timelines, and pricing for any paid engagement are confirmed separately in writing (via email, proposal, or invoice) before work begins — never assumed from general descriptions on this Site.
Free Strategy Calls & Audits
The free 30-minute strategy call offered through the Book a Call page is exactly what it says: free, with no payment required, no credit card requested, and no obligation to purchase anything afterward.
- I limit free audit calls to a set number of spots per week to ensure each one gets proper attention.
- Feedback given on a free call is based on a quick review and is intended as general guidance — a paid engagement involves a deeper, more thorough audit.
- I reserve the right to decline a free call request if it appears to be spam, irrelevant to my services, or made in bad faith.
- Booking a free call does not create any contractual relationship, payment obligation, or guarantee of future work between us.
How a Paid Engagement Works
If, after a strategy call, we agree to work together, the following typically applies:
- I send a written proposal or quote outlining the scope of work, deliverables, timeline, and price.
- Once you approve the proposal, I may request a deposit (typically 30–50% of the total project cost) before work begins.
- Work proceeds according to the agreed timeline, with regular updates as outlined on the About and Services pages.
- The remaining balance is due upon completion, or according to the milestone schedule confirmed in the proposal.
No paid work begins until both parties have agreed on scope and price in writing — a verbal conversation or a general page on this Site is never treated as a binding contract for paid services.
Pricing & Payment Terms
Package prices referenced on the Services page (such as the Starter Store, Growth Store, and Full Growth System packages) are starting points, not fixed quotes. Your exact price depends on your store's current condition, scope of work, and goals, and will always be confirmed in writing before you're asked to pay anything.
- Currency — prices are generally quoted in USD unless otherwise agreed, given my international client base across USA, UK, UAE, Canada, and Australia.
- Payment methods — accepted methods (such as bank transfer, Payoneer, Wise, or other agreed platforms) are confirmed at the proposal stage.
- Late payments — work may pause if an agreed milestone payment is not received within a reasonable period after the due date.
- Ad spend is separate — see Section 12 below regarding Meta Ads budgets specifically.
Your Responsibilities as a Client
To deliver good work on time, I rely on clients to:
- Provide accurate information about your business, products, and goals
- Grant timely access to your store, hosting, domain, ad accounts, or analytics where required for the project
- Provide feedback and approvals within a reasonable timeframe, so the project doesn't stall
- Supply any content (product photos, copy, branding assets) needed for the work, unless content creation is explicitly part of the agreed scope
- Make payments according to the agreed schedule
Delays in providing access, feedback, or content may extend the project timeline accordingly, and I'm not responsible for missed deadlines caused by delays on the client's side.
Revisions, Timelines & Delays
Timelines referenced on the Site (for example, 7–14 days for a starter store, or 3–4 weeks for a full growth store) are typical estimates based on past projects, not guaranteed delivery dates. Actual timelines are confirmed in your specific proposal.
- Revisions — each package or proposal specifies a reasonable number of revision rounds. Requests significantly outside the original agreed scope may be quoted as additional work.
- Scope changes — if requirements change meaningfully after work has started, I'll flag the impact on timeline and price before proceeding.
- Force majeure — I'm not liable for delays caused by circumstances beyond reasonable control, including platform outages (Shopify, WooCommerce, Meta), internet or power disruptions, or other unforeseeable events.
Cancellations & Refunds
Specific refund terms are confirmed in your individual proposal, but as a general policy:
- Before work begins — if you cancel before any work has started, your deposit is refunded minus any payment processing fees already incurred.
- After work has started — deposits are non-refundable once work has begun, as they cover time and resources already committed to your project.
- Partial completion — if a project is cancelled mid-way, you'll be invoiced for work completed up to that point, and any prepaid balance beyond that will be refunded.
- Free strategy calls — being entirely free, there is nothing to refund; you may simply choose not to book a follow-up.
- Ongoing retainers — monthly growth management retainers can be cancelled with notice as specified in the retainer agreement (typically 14–30 days), with no further billing after the notice period ends.
Intellectual Property & Ownership
Once a project is paid in full, ownership of the final deliverables (your store design, custom code written specifically for you, and content created exclusively for your project) transfers to you.
- Pre-existing assets — any tools, frameworks, code snippets, or processes I've developed prior to or independently of your project remain my property, even if used within your deliverables.
- Third-party assets — stock photos, premium themes, plugins, or fonts used in your project are subject to their own separate licenses, which transfer to you only to the extent their original license permits.
- Portfolio rights — unless you request confidentiality (see Section 14), I retain the right to showcase completed work, including screenshots and general descriptions of results achieved, in my portfolio and marketing materials.
- Unpaid work — if a project is not paid in full, ownership of deliverables remains with me until payment is completed.
Third-Party Platforms & Ad Spend
My services often involve third-party platforms I do not own or control — Shopify, WooCommerce, WordPress, Meta (Facebook & Instagram), Google, and various apps or plugins. I'm not responsible for outages, policy changes, account suspensions, or pricing changes made by these platforms.
You remain responsible for maintaining your own accounts (Shopify subscription, domain registration, hosting, ad accounts) and their associated costs, unless explicitly included in an agreed package.
No Guarantee of Results
I work hard to deliver strategy-led, conversion-focused results, and the case studies on my Portfolio page reflect real past outcomes. However, e-commerce results depend on many factors outside my control — your product, market conditions, competition, ad platform algorithms, and broader economic factors.
- I do not and cannot guarantee specific traffic numbers, conversion rates, sales figures, search engine rankings, or return on ad spend.
- Past results shown in case studies and testimonials are individual outcomes and not a promise of similar results for your business.
- Where I provide estimates (e.g., "first measurable SEO growth around 90 days"), these are based on typical timelines and are not contractual guarantees.
Confidentiality
I treat client business information — store data, analytics, strategy discussions, and unreleased products — as confidential, and I won't share it with third parties without your consent, except where required to deliver the agreed services (for example, sharing access with a relevant app or ad platform).
If you'd prefer your project not appear in my portfolio or marketing materials, simply let me know in writing and I will respect that request, including for any prior case studies already published, within a reasonable timeframe.
Limitation of Liability
To the fullest extent permitted by law, I am not liable for any indirect, incidental, special, or consequential damages arising from your use of this Site or my services — including but not limited to loss of revenue, loss of data, or business interruption — even if I've been advised of the possibility of such damages.
My total liability for any claim arising from a paid engagement is limited to the amount you actually paid me for the specific service giving rise to the claim. This Site and its content are provided "as is," without warranties of any kind, express or implied.
Indemnification
You agree to indemnify and hold me harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your misuse of this Site, your violation of these Terms, or your violation of any third party's rights — including claims related to content, products, or claims you provide for use in your project.
Termination
Either party may terminate an active engagement with written notice, subject to the cancellation and refund terms in Section 10. I reserve the right to decline, pause, or terminate work with any client who is abusive, fails to pay as agreed, requests unlawful work, or otherwise acts in a way that makes continuing the engagement unreasonable.
I also reserve the right to restrict or terminate access to this Site for any visitor who violates the acceptable use terms outlined in Section 3.
Testimonials & Case Studies
Testimonials, reviews, and case studies featured on this Site (including the Portfolio page) are from real past clients, shared with their permission. Names, company details, or specific figures may be generalized or anonymized at a client's request. Featured results are individual outcomes for that specific business and circumstance, and should not be read as typical or guaranteed results for every client.
Governing Law & Disputes
These Terms are governed by applicable law in the jurisdiction where I am based, without regard to conflict-of-law principles, unless a separate signed client agreement specifies otherwise for a particular engagement.
If a dispute arises, I encourage resolving it directly through good-faith discussion first — most issues can be resolved quickly with a conversation. Where formal resolution is necessary, the specific governing jurisdiction and dispute process will be confirmed in the individual client agreement for that engagement.
Changes to These Terms
I may update these Terms from time to time to reflect changes in my services, business practices, or legal requirements. When I do, I'll update the "Last updated" date at the top of this page. Continued use of the Site after changes are posted means you accept the revised Terms. For active client engagements, any material changes affecting your project will be communicated directly rather than relying solely on this page.
Contact Me
If you have any questions about these Terms & Conditions, or about how a project with me would actually work, I'm easy to reach directly — no support tickets, no chatbots, no account managers in between.
